Governance

Accountability at the foundation.

Our memorandum and articles of association set the framework for the Centre’s purpose, decision-making and stewardship of resources.

Legal form and purpose

Helvia’s objects centre on independent research, researcher support, collaboration and public benefit. Its memorandum and articles of association provide the framework for pursuing that purpose.

Collective decisions and records

The articles establish a framework for collective decision-making, participation and written records. Decisions are subject to the procedures and requirements set out in the governing documents.

Conflicts of interest

The articles address interests in transactions or arrangements and set out the applicable rules for participation in decisions. These provisions support responsible consideration of potential conflicts.

Stewardship of resources

Income and property are to be used solely to advance the company’s objects and are not to be distributed to members as dividends, bonuses or profits. The memorandum provides for remaining assets on dissolution to be transferred to organisations with similar objects after liabilities have been met.
